Terms of Service
Effective: 21 October 2026
Clause 4.6 now lets you replace the client site in a slot once in each calendar month, and the new clause 4.6A sets out the free studio trial: your own website and one client site for 30 days, your own website kept on until a paid plan starts, and any yearly-plan discount an invitation includes.
1. General
1.1 Uplinkd Group Pty Ltd (ABN 50 660 968 123) ('Uplinkd Group', 'we', 'us' or 'our') operates and maintains the uplinkd.com website, the website audit and the reports and the product sites Uplinkd Group operates, referred to as the Service.
1.2 These terms apply to your access to and use of the Service. By accessing or using the Service, you agree to these terms. If you do not agree, do not use the Service.
1.3 We may change these terms at any time by publishing the changed terms on this website. The effective date at the top shows the version in force, and every earlier version stays published beneath it. Changes do not operate retrospectively.
1.4 These terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria, Australia. We do not warrant that the Service or its content complies with the laws of any other jurisdiction. If you access the Service from outside Australia, you do so at your own risk.
2. Services
2.1 The Service is the uplinkd.com website, the website audit and the reports and the product sites Uplinkd Group operates, as described on this website.
2.2 What we sell through the site is described in clause 4 and on the pricing page: a free website audit, the Website Audit Report plan and Founding Studio reservations for that plan. Every check and report is generated and delivered by our platform.
2.3 We may change, suspend or withdraw any part of the Service at any time. A client site we cannot check is covered by clause 4.4.
3. Accounts and sign-in
3.1 An account is created for you when you start a plan or reserve a Founding Studio place, and it is where your plan, reports and referrals are shown. You must be at least 18 years old to hold an account.
3.2 You must use your own name and your business's name. You must not impersonate another person or business, or act on behalf of another business unless you are authorised to. You warrant that the information you give us is correct and not misleading in any way, and you promise to keep it up to date.
3.3 Sign-in is by a link we email to the address on your account. Nothing else is needed to sign in, so you are responsible for keeping that email address secure and for all activity under your account. Tell us at once if you believe someone else has access to it, and we will stop sign-in links to that address.
4. Reports, plans and reservations
4.1 What we sell. The products sold through the site are:
(a) the free website audit: a free report of the top findings for one site, sent to an email address you verify. It covers public pages only and carries no security section. One free website audit per domain every 30 days;
(b) the Website Audit Report plan: a white-label Website Audit Report each month on every client site in your plan, covering its public pages up to 100 pages, or more where you use extra site slots, delivered online and, where offered, as a PDF. The security section is added once you verify control of the domain by the method we show you. Site slots are bought in blocks of 25 and the plan is paid monthly or yearly (clause 4.6); and
(c) a Founding Studio reservation for the plan, which is not a purchase (clause 4.8).
The current prices are shown on the pricing page and at checkout. We may add, change or withdraw a product at any time. A plan already paid for runs to the end of its paid period as set out in clause 4.6.
4.2 Public pages and fair use of a check. We check public pages only, as any visitor or search engine could: we honour the site's robots.txt and we never sign in to a site, change it or touch its files. You may request a check of the public pages of any site, including a site you hope to win as a client. A check that reads beyond public pages, such as the security section of a report, runs only once you prove that you control the domain by the method we show you. You must not use a check or a report to mislead, harass or threaten a site's owner. You must state a report's findings accurately. When you contact anyone about a report you must comply with the anti-spam and privacy laws that apply to you. You indemnify us against any claim, cost or loss arising from your use of a check or a report. We may decline or stop a check at any time, for example when a site's owner asks us to, and we may add a site to a list of sites we do not check.
4.3 Automated delivery. Every check runs on our platform without a person reviewing it. A report records what our checks found on the public pages we could reach at the time of the run. We do not promise that a report is complete, that it finds every issue or that a page is free of problems because a check did not report one. The report informs your own judgement and the advice you give your client; it does not replace either. A status page shows the progress of each check.
4.4 When a site cannot be checked. If a site cannot be reached, rendered or checked in full, we retry automatically. If the retries fail, we tell you what blocked the check so you can fix access or replace that site with another client site in your plan. A report delivered within its page cap is a delivered report. A free website audit that cannot run costs nothing and may be run again after 30 days.
4.5 White-label licence. When we deliver a Website Audit Report we grant you a non-exclusive, non-transferable licence to use that report in your business, including to carry your name, logo and colours in place of ours and to give it to the owner of the site it covers, whether a client or a business you hope to win as one. You may not sell a report on its own or supply it to anyone other than that site's owner. We keep all rights in the check catalogue, the method, the templates and the software that produced the report. You must not present a report as a security audit, a penetration test, a compliance certification or legal advice, and you must not represent that we have audited or certified the site.
4.6 Plans and blocks. A plan covers the site slots in the blocks you buy, 25 slots to a block, at the block prices shown on the pricing page when you start or add to it. A client site uses one slot, plus one more for each extra 100 pages you choose to have checked on it, for as long as you keep the extra pages on. A plan paid monthly or yearly renews automatically at the end of each paid period until you cancel it. Cancelling takes effect at the end of the current paid period; reports already delivered stay licensed to you under clause 4.5. You may add or remove blocks or extra pages from your account, and replace the client site in a slot with another at most once in each calendar month (UTC) for that slot; removing a client site and adding a new one in the slot it frees counts as that replacement. If the slot's report for its current month has already run, the new site's first report is on the slot's next monthly date; any change to what you pay is shown before you confirm it. We email you at least 30 days before a higher price applies to your plan's next renewal.
4.6A Studio trial. If we invite your studio to a free trial, it covers your own website and one client site for 30 days from when you accept the invite, with no charge and no card. When the trial ends, checks pause until you start a paid plan, and your reports stay in your account. Your own website stays on the trial and cannot be removed or replaced until a paid plan starts. An invitation may include a discount on a yearly plan, applied at checkout for as long as the plan stays yearly; it can be used once and not with any other discount.
4.7 Satisfaction remedy. If you are not satisfied with your plan, email us at [email protected] within 14 days of your first payment on it and we will refund that payment, as set out in our Refund Policy. Later renewals are not refunded except where the law requires it. This remedy is in addition to your rights under the Australian Consumer Law.
4.8 Founding Studio reservations. A Founding Studio reservation records your interest in the plan at the block prices you saw when you reserved, for the number of client sites you chose. A reservation is not a purchase: no card is taken, nothing is charged and nothing is owed until the plan opens and you choose to start it. We confirm the reserved price in writing. We do not promise a date on which the plans will open, and what a plan includes may change before it opens. When your plan opens we offer it to you at the reserved price, and that price is held for as long as you stay on the plan without a break. Founding Studio reservations are limited to 10 places and close on 31 December 2026. You may withdraw a reservation at any time by emailing us, at no cost. A Founding Studio earns the referral share in clause 4.9 at 30% in place of 25%.
4.9 Referral share. A studio with an account that refers another studio to us earns a share of what the referred studio pays us in the 24 months after its first payment: 25% of those payments, or 30% for a Founding Studio. To qualify, the referred studio must be a new customer we have not already dealt with and must be identified to us by the referral method published on the site before its first payment. The share is paid as credit to your account and applied to what you buy from us; we make no cash payouts. You may not refer yourself, a business you own or control or a client whose site you submit under your own account. We may withhold or reverse a share where a referral is abusive, mistaken or made in breach of these terms, or where the referred payment is refunded or charged back.
4.10 Fair use of the free website audit. The free website audit is for a site you own or look after, which you confirm when you ask for it. It is limited to one check per domain every 30 days, and we apply limits per email address and per network address to keep the service available to everyone. We may refuse, delay or stop a check that exceeds those limits or appears automated, and we do not check a domain whose owner has asked us not to (clause 4.2). The free website audit may be changed or withdrawn at any time.
5. Payments and our fees
5.1 We charge for the Website Audit Report plan, once plans open. Our fees are calculated in accordance with our published pricing, found on our website. If any tax, impost, duty or charge applies to our provision of the Service to you, you must pay this in addition to our fee, unless we say otherwise in writing. Applicable taxes, including Australian GST where it applies, are shown at checkout before you pay. We are registered for GST. Our prices exclude GST. Customers in Australia are charged GST at 10% on top of the price and receive a tax invoice. Supplies to customers outside Australia are GST-free where the law allows.
5.2 We may change our fee structure at any time by publishing a revised version, but changes will not apply retrospectively. A higher price reaches an existing plan only at a renewal after the notice in clause 4.6. A price reserved under clause 4.8 is held as that clause says.
5.3 Our refund policies are set out on our website: the satisfaction remedy in clause 4.7 of these terms and the Refund Policy. We act in accordance with them.
5.4 Payments are processed by Stripe under its own terms. We do not store your card details.
5.5 Customers in Australia are quoted and charged in Australian dollars plus GST. Everyone else is quoted and charged in US dollars. The site shows prices in the currency you will be charged in, and you can switch between the two before you check out.
6. Prohibited use
In using the Service, you must not:
(a) contravene any applicable law or regulation;
(b) interfere with or disrupt the Service in any way, including through the use of viruses, trojans or harmful code;
(c) mislead or deceive others, whether by act or omission, including by making false or inaccurate representations about your identity;
(d) stalk, harass, abuse, threaten, intimidate, defame or vilify any person;
(e) share, distribute, store or transmit offensive, obscene, racist, pornographic or illegal material;
(f) otherwise violate or infringe the legal rights of any person; or
(g) encourage, assist or procure another person to do any of the foregoing.
7. Copyright
7.1 Unless otherwise indicated, copyright in this website, the Service and their contents belongs to us or our licensors.
7.2 You may publish a link to this website.
7.3 Unless permitted by law, you must not, without our prior written consent:
(a) reproduce, adapt, store in a retrieval system, transmit, print, display, perform, publish, broadcast or create derivative works from any part of this website or its contents, beyond what the licence in clause 4.5 allows; or
(b) cause any part of this website or its contents to be framed or included in another website.
8. Trademarks
8.1 Brand marks such as 'Uplinkd Group' are trademarks of Uplinkd Group Pty Ltd. Other trademarks on this website are the property of their respective owners.
8.2 You must not use any trademark on this website without the prior written consent of its owner.
9. Policies
9.1 We may create or amend acceptable use policies from time to time which apply to the use of the Service. We publish them on this website.
9.2 You must comply with any such policy as though it were part of these terms.
10. Links
This website may link to websites at other addresses. Unless stated otherwise:
(a) we do not control, approve, endorse or sponsor any such website or its content; and
(b) we do not provide any warranty or take any responsibility for any aspect of those websites or their content.
11. Disclaimer
11.1 Your access to and use of the Service is at your own risk. While payments are processed securely by Stripe, the internet is generally not secure and material passing over it may be intercepted, altered or corrupted in storage or transit.
11.2 Subject to any statutory guarantee we must give, we do not promise that the Service:
(a) is free from errors;
(b) will operate without interruption; or
(c) is free from anything which may damage your computer or data.
You should keep up-to-date antivirus and firewall protection in place when using the internet.
11.3 We do not promise that the contents of this website are complete, accurate, reliable or up to date. We may correct errors and make changes to this website or its contents at any time.
11.4 We may at any time, in our sole discretion and without notice to you, restrict, suspend or limit access to and use of the Service, including for scheduled maintenance or fraud prevention. Clause 4.4 applies to a client site we cannot check.
12. Limitation of liability
12.1 The Australian Consumer Law sets out consumer rights and remedies that cannot be excluded, restricted or modified. These terms are subject to the Australian Consumer Law and do not exclude, restrict or modify those rights where it would be unlawful to do so.
12.2 Subject to clause 12.1 and to the fullest extent permitted by law:
(a) the Service is provided on an 'as is' basis and we exclude all implied conditions, warranties, guarantees and representations of any kind;
(b) where any law implies a condition, warranty or guarantee into these terms which cannot be excluded, our liability for breach of it is limited, at our election, to the resupply of the Service or the payment of the cost of resupply; and
(c) we exclude, and you release us from, all liability to you for loss (including indirect and consequential loss) or damage of any kind, however caused or arising, including by negligence, arising from or in any way connected with this website, its contents, the Service or your use of them.
13. Account cancellation, breach and indemnity
13.1 Because of the nature of the Service, we reserve the right to decide who may use it.
13.2 We may cancel your account at any time at our absolute discretion. We may cancel it without notice if you:
(a) breach these terms;
(b) charge back or attempt to charge back an amount you have paid for the Service; or
(c) are the subject of a complaint that we consider serious.
13.3 If we cancel your account, you may not use the Service again, whether by creating a new account or using another account.
13.4 If we cancel your account for a reason in clause 13.2(a) to (c), no refund is made for the rest of a paid plan period or a report we have delivered except where the Australian Consumer Law requires it, and any reservation and referral share lapse. Cancellation does not otherwise affect our right to receive any payment rightfully due to us under these terms.
13.5 You must indemnify us and our officers, employees and agents against all claims, demands, damages, costs, expenses (including legal expenses on a full indemnity basis), penalties and liabilities that we or any of them may incur as a direct or indirect consequence of your breach of these terms or of your unlawful or negligent act or omission.

16. Entire agreement
16.1 To the extent permitted by law, these terms contain the entire terms of your agreement with us, unless we agree otherwise in writing. The Refund Policy and the Privacy Policy form part of these terms.
